Please read these Terms of Service ("Terms") carefully before using the UnitNode platform. These Terms constitute a legally binding agreement between you and UnitNode governing your access to and use of our website, services, and software (collectively, the "Services").

Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. If you do not agree with our Terms, you should not use our Services.

Description of Services

UnitNode provides a property management platform that allows property managers and landlords to automate communications with tenants, including rent reminders, water bill notifications, and other custom messages. Our platform may include features for tenant management, alert configuration, and messaging, along with translation capabilities.

User Accounts

To access most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify UnitNode immediately if you discover or suspect any security breach related to the Services or your account.

Subscription and Payments

Some of our Services are provided on a subscription basis. By subscribing to our Services, you agree to pay the fees indicated for such Services. Payments are non-refundable except as required by law or as explicitly stated otherwise. You agree to provide current, complete, and accurate billing information and authorize us to charge you for all purchased Services using your payment method.

Subscriptions automatically renew until canceled. You may cancel your subscription at any time, but you will not receive a refund for the current billing cycle. After cancellation, you will continue to have access to the Services until the end of your current billing period.

Your Responsibilities

In using our Services, you agree to:

• Respect the privacy and rights of tenants and third parties
• Obtain appropriate consent before using our Services to communicate with individuals
• Maintain the confidentiality of any data you input into our system

Prohibited Conduct

You agree not to:

• Use the Services to harass, abuse, or harm another person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Violate any applicable law or regulation in connection with your use of the Services
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
• Sell, license, or exploit for any commercial purposes any use of or access to the Services

Intellectual Property Rights

The Services and all related content, features, and functionality are owned by UnitNode, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as it is created and owned by you.

User Content

Our Services allow you to input, upload, and store information, data, text, and other materials ("User Content"). You retain any rights that you may have in your User Content. By providing User Content to us, you grant us a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or the rights of any third party.

SMS Terms and Conditions

We offer SMS (text message) communications as part of our Services. By providing your mobile phone number and opting in to receive SMS communications from UnitNode, you agree to these SMS Terms and Conditions, which are part of our overall Terms of Service.

Message and Data Rates

Message and data rates may apply to SMS communications sent and received in connection with our Services. Your mobile carrier may charge you for each message you send and receive. Please check with your wireless service provider regarding your SMS messaging plan and data rates. UnitNode is not responsible for any message or data charges you may incur.

Message Frequency

The frequency of SMS messages varies based on your account settings and preferences. You may receive:

• Account notifications as needed for security and account-related purposes
• Reminders and alerts based on the frequency you set in your account settings
• Operational messages related to your use of our Services
• Service updates and marketing messages (with your consent)

Opt-Out Information

You can opt-out of receiving SMS messages from UnitNode at any time by:

• Replying "STOP" to any SMS message from UnitNode
• Updating your communication preferences in your account settings
• Contacting our support team at support@unitnode.com

After you opt-out, we will send you a confirmation message, and you will no longer receive SMS messages from UnitNode. If you want to rejoin, you can opt-in again through your account settings or by contacting our support team.

Termination

We may suspend or terminate your access to the Services for any reason, including if we believe that you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UNITNODE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNITNODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL UNITNODE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO UNITNODE FOR THE SERVICES IN THE LAST 12 MONTHS.

Indemnification

You agree to indemnify, defend, and hold harmless UnitNode and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the federal or state courts located in San Francisco, California.

Changes to Terms

We may modify these Terms from time to time. If we make changes, we will provide notice of such changes by revising the date at the top of these Terms. Your continued use of the Services following any changes indicates your acceptance of the updated Terms.
